PyQuant Terms and Conditions

Welcome to PyQuant. By accessing or using our platform, you agree to comply with and be bound by these Terms and Conditions. These Terms constitute a legally binding agreement between you and PyQuant, LLC. If you do not agree with these Terms, you may not access or use our services.

1. Purpose of PyQuant
PyQuant provides research and scoring based on publicly available company financial statements. Our algorithm generates standardized scores reflecting a company’s financial health. PyQuant is solely for educational, informational, and research purposes. Nothing provided constitutes personalized financial, investment, or legal advice.

2. No Financial Advice / SEC Disclaimer
The information and scoring provided by PyQuant is not financial or investment advice. Users are solely responsible for their own investment decisions. PyQuant is not registered with the SEC, FINRA, or any financial regulatory authority. The platform should not be used as the sole basis for any investment decision.

3. Account Registration & User Obligations
To use certain features, you must create an account. You agree to provide accurate, complete, and current information; maintain the confidentiality of your account credentials; notify PyQuant immediately of any unauthorized account use; and not use another person’s account without permission. Failure to comply may result in suspension or termination of your account.

4. Acceptable Use, Data Restrictions & Audit Rights
You may not reverse-engineer, copy, or manipulate the algorithm or platform data; use the platform for illegal or fraudulent purposes; scrape, redistribute, or resell any content, data, or reports; or interfere with the platform, servers, or network security. Users are strictly prohibited from storing, caching, or adding PyQuant scores to any external database or system, unless under a valid Professional Tier subscription. PyQuant reserves the right to audit your storage and use of the scores at any time. Users must maintain accurate records of score usage, and any liability or misuse must be demonstrated by the user; PyQuant is fully authorized to request evidence of storage, access, and application of our data, and may revoke access or terminate accounts for violations.

5. Payment, Subscription & Refund Policy
PyQuant operates on a subscription basis. By subscribing, you authorize recurring charges through the payment method provided. Subscriptions renew automatically until canceled. All fees are non-refundable unless required by applicable law. Users are responsible for taxes and fees associated with subscriptions. PyQuant reserves the right to modify pricing, billing cycles, or payment methods with notice. Failure to pay may result in suspension or termination of services.

6. Limitation of Liability
PyQuant provides the platform "as-is" and without warranties. We do not guarantee accuracy, completeness, or fitness for a particular purpose. Under no circumstances shall PyQuant, its officers, affiliates, or employees be liable for any damages, including direct, indirect, incidental, consequential, or punitive damages, arising from use of the platform.

7. Indemnification
You agree to indemnify, defend, and hold harmless PyQuant and its affiliates from any claims, losses, liabilities, costs, or damages arising from your violation of these Terms or use of the platform.

8. Intellectual Property
All content, software, algorithms, logos, and materials on PyQuant are owned by PyQuant and protected by law. You may not copy, distribute, create derivative works, or use any content for commercial purposes without written consent.

9. Third-Party Data & Disclaimers
PyQuant may incorporate third-party data from sources such as financial vendors. We do not guarantee the accuracy of third-party data and disclaim liability for any errors, omissions, or inaccuracies in such data.

10. Termination & Suspension
We may suspend or terminate your access at any time for breach of Terms, non-payment, illegal activity, or at our discretion. Termination does not waive any rights or remedies PyQuant may have at law or equity.

11. Force Majeure
PyQuant is not liable for failure or delay in performance due to events beyond our reasonable control, including but not limited to natural disasters, pandemics, strikes, power failures, or cyber-attacks.

12. Dispute Resolution & Arbitration
Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration in New Jersey, USA, under applicable arbitration rules. You waive the right to class actions or jury trials for disputes with PyQuant.

13. Governing Law
These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflicts of law principles.

14. Entire Agreement & Severability
These Terms constitute the entire agreement between you and PyQuant regarding the platform. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.

15. Changes to Terms
We may modify these Terms at any time. Continued use of PyQuant after updates constitutes acceptance of the revised Terms. Users are encouraged to review these Terms periodically.
